1. Parties and Formation of the Agreement
1.1. This agreement is concluded between PATİBASE EVCİL HAYVAN BİLİŞİM TEKNOLOJİLERİ LİMİTED ŞİRKETİ (Kuştepe Mah. Mecidiyeköy Yolu Cad. Trump Tower No: 12 Interior Door No: 221, Şişli / İstanbul, Türkiye; MERSIS 0924105088900001; Kağıthane Tax Office / TIN 9241050889; hereinafter "PATİBASE") and the legal entity or community applying for an organization account on PatiBase (hereinafter the "ORGANIZATION").
1.2. The agreement is formed when the person authorized to represent the ORGANIZATION ticks the consent box in the application flow and submits the application, and PATİBASE approves that application. Consent given electronically constitutes a valid acceptance under Article 1 et seq. of the Turkish Code of Obligations no. 6098.
1.3. Authority to represent. The person giving consent declares and undertakes that they are authorized to represent the ORGANIZATION and to enter into this agreement on its behalf. In case of unauthorized representation, that person is personally liable for any resulting damage. PATİBASE reserves the right to request documents evidencing such authority (board resolution, signature circular, letter of appointment, etc.).
1.4. Acceptance record. In order to evidence the moment of formation, PATİBASE records the agreement version, the digest of that version (hash), the date and time of acceptance, the full name and role within the ORGANIZATION of the person accepting, the IP address and device information. These records constitute documentary evidence within the meaning of Article 199 of the Turkish Code of Civil Procedure no. 6100.
1.5. This agreement, together with the information declared and the documents uploaded by the ORGANIZATION during the application, forms an integral whole.
2. Definitions
- Platform: The patibase.app website, the ptbs.tr short-link service and the PatiBase mobile applications (iOS / Android) operated by PATİBASE.
- Organization Account: The Platform account opened in the name of the ORGANIZATION, carrying a badge according to the organization type.
- Organization Type: Shelter, Association (NGO) or Volunteer Community.
- Authorized User: A natural-person user granted access to the Organization Account with the role of Owner, Admin or Editor.
- Organization Content: All listings, images, videos, texts and other content published through the Organization Account by the ORGANIZATION or its Authorized Users.
- Listing: Content published for adoption, lost-and-found or any other purpose supported by the Platform.
- Application (Adoption): A Platform user submitting a request through a Listing.
- Invitation Link: A unique sign-up link that PATİBASE may allocate to the ORGANIZATION, through which users who register become associated with the ORGANIZATION.
- Volunteer: A natural-person user who registers on the Platform through the Invitation Link and whose account carries the Volunteer Tag.
- Volunteer Tag: The ORGANIZATION's name and logo displayed on the Volunteer's profile and listings.
- Applicable Law: All applicable legislation in force, in particular the Animal Protection Act no. 5199 (as amended by Act no. 7527), its secondary legislation, the Personal Data Protection Act no. 6698 ("KVKK"), Act no. 5651, the Associations Act no. 5253 and the Consumer Protection Act no. 6502.
3. Application, Verification and Approval
3.1. An Organization Account is requested through the organization application flow in the settings section of the Platform. The application requires the organization type, organization name, contact details, representative details and a verification document appropriate to the organization type (association registry certificate or articles of association, shelter licence or municipal approval letter, community introduction file, etc.).
3.2. PATİBASE reviews the application and may approve it, request additional documents, or reject it with reasons. Approval of an application is at PATİBASE's discretion; no claim arises for the ORGANIZATION in case of non-approval.
3.3. The ORGANIZATION undertakes that the information declared in the application is accurate and current, and that it will update such information through the Platform without delay in case of any change.
3.4. An approved Organization Account is granted a verification badge appropriate to its organization type. The badge indicates that PATİBASE has checked the ORGANIZATION's declarations and documents on a record basis; it does not mean that the ORGANIZATION's activities, listing content or adoption decisions are supervised or guaranteed by PATİBASE.
3.5. PATİBASE may periodically request renewed verification documents.
4. Use of the Organization Account
4.1. Access rights to the Organization Account are defined by the Authorized User holding the Owner role. Roles and their permissions are as stated on the Platform.
4.2. All actions taken through the Organization Account are attributed to the ORGANIZATION. The ORGANIZATION is liable for the acts of its Authorized Users as for its own acts.
4.3. The ORGANIZATION is obliged to keep the list of Authorized Users current and to revoke without delay the access of persons who have left their post.
4.4. The security of account credentials is the responsibility of the ORGANIZATION. In case of suspected unauthorized access, the ORGANIZATION shall inform PATİBASE immediately.
4.5. The Organization Account may not be transferred, sold, leased or made available to third parties. In the event of a merger, change of name or similar change in the legal personality of the ORGANIZATION, PATİBASE shall be notified.
5. Organization Content and Listing Rules
5.1. The ORGANIZATION is the content provider. All legal and criminal liability arising from Organization Content rests with the ORGANIZATION.
5.2. The ORGANIZATION undertakes that the information in its Listings (species, breed, age, sex, health status, vaccination and neutering status, digital identity / microchip information, behavioural characteristics, location) is accurate, current and not misleading.
5.3. The ORGANIZATION declares that it is legally entitled to rehome the animal or to publish the listing concerned.
5.4. Prohibition of commercial sale. Listings may be used solely for the purpose of cost-free rehoming. No content aimed at the sale of an animal or at its transfer against a fee or a donation may be published. Where veterinary costs that have actually been incurred and can be documented are requested, this must be stated clearly in the listing.
5.5. Compliance with law. The ORGANIZATION carries out its activities in accordance with Act no. 5199 and the related regulations, and complies with the obligations regarding registration, neutering and digital identification of animals.
5.6. Updating. When an animal has been rehomed, has died, or the listing has otherwise ceased to be valid, the ORGANIZATION shall close or update the listing within 3 business days at the latest.
5.7. Third-party rights. The ORGANIZATION undertakes that it holds the rights of use to the images, videos and texts it uploads; that they do not infringe the intellectual property and personality rights of third parties; and that it does not unlawfully include the personal data of third parties in listing content.
5.8. The adoption relationship is established between the ORGANIZATION and the adopter. PATİBASE is not a party to that relationship and is not liable for the condition of the animal, the suitability of the adopter, post-adoption follow-up, or any dispute arising from that relationship.
6. Invitation Link and Volunteer Tag
This article applies only where PATİBASE has allocated an Invitation Link to the ORGANIZATION.
6.1. Allocation. PATİBASE may generate an Invitation Link specific to the ORGANIZATION. The link is allocated to the ORGANIZATION alone; it may not be transferred or used for commercial purposes.
6.2. Sharing. The ORGANIZATION may share the Invitation Link through its own volunteer communication channels (messaging groups, social media accounts, website, e-mail newsletters, event materials).
6.3. Volunteer status. The account of a user who registers on the Platform through the Invitation Link is given the Volunteer Tag. The meaning and consequences of being tagged are shown clearly to the user during the sign-up flow; the tag is not applied without the user's consent.
6.4. Meaning and limits of the tag. The Volunteer Tag indicates only that the listing owner belongs to the ORGANIZATION's volunteer network. The tag does not mean that the ORGANIZATION is the owner, publisher or content provider of the listing, that the ORGANIZATION has reviewed, verified or vouched for the listing content, or that the Volunteer is a member of the ORGANIZATION or holds authority to represent it. This is displayed to users on the Platform as an information note next to the tag.
6.5. Liability in volunteer listings. In listings published by a Volunteer from their own account, the listing owner and content provider is the Volunteer. The Volunteer is solely liable for the content of such listings, for the adoption process and for all resulting consequences; the ORGANIZATION has no obligation to pre-screen the content of such listings and bears no legal liability for them.
6.6. Removal of the tag. The ORGANIZATION may request in writing, without giving reasons, that the tag of any Volunteer be removed; PATİBASE shall comply within 2 business days at the latest and shall remove the tag from all displays, including past listings. The Volunteer may also remove the tag at any time from their own account settings.
6.7. Misuse. Where the Invitation Link is distributed without permission, used for mass fake registrations or used unlawfully, PATİBASE may suspend or regenerate the link after informing the ORGANIZATION with reasons.
6.8. Reporting. PATİBASE may provide the ORGANIZATION with aggregated statistics such as the total number of volunteers, number of listings and number of adoptions. The identity and contact details of Volunteers are shared with the ORGANIZATION only with the explicit consent of the Volunteer concerned.
7. PATİBASE's Legal Position
7.1. PATİBASE is a hosting provider within the meaning of Act no. 5651; it is under no obligation to monitor Organization Content or volunteer listings in general prior to publication.
7.2. PATİBASE is not a party to any relationship between the ORGANIZATION and Platform users; it provides only the technical infrastructure and the means of communication.
7.3. The ORGANIZATION shall indemnify PATİBASE against third-party claims, administrative sanctions and litigation costs directed at PATİBASE arising from Organization Content or from the acts of the ORGANIZATION. PATİBASE's liability in proportion to its own fault is reserved.
8. Prohibited Content and Conduct
The ORGANIZATION and its Authorized Users may not, on the Platform:
- publish content aimed at the sale of animals, transfer against a fee, breeding or trade;
- share misleading, untrue or unverifiable information;
- share content involving or encouraging mistreatment, abuse or violence towards animals;
- share the personal data of third parties unlawfully;
- make posts containing hate speech, insults, harassment or discrimination;
- use the Platform for political propaganda or commercial promotion unrelated to PatiBase;
- make unauthorized calls for donations or fundraising (see Art. 12.3);
- damage the technical infrastructure of the Platform, scrape data automatically, or attempt to circumvent security measures;
- create the impression of acting on behalf of another organization, person or public authority.
9. Moderation, Suspension and Account Closure
9.1. PATİBASE may remove content from publication or block access to it where: the content is contrary to Applicable Law, to this agreement or to the Platform terms of use; there is suspicion of animal trade, abuse or misleading information; or upon a decision of a competent authority or a justified third-party notice.
9.2. Where content is removed, PATİBASE notifies the ORGANIZATION together with the reasons. Except in urgent cases, the ORGANIZATION is given a reasonable period to correct the content before removal.
9.3. In case of serious or repeated violations, PATİBASE may temporarily suspend the Organization Account or remove the verification badge. Where the violation is grave and persistent, the account may be closed permanently.
9.4. The ORGANIZATION may object in writing to a removal or suspension decision by writing to info@patibase.app. PATİBASE evaluates the objection within a reasonable period and notifies the outcome.
10. Protection of Personal Data
10.1. The parties undertake to comply with the KVKK no. 6698 and the related secondary legislation.
10.2. PATİBASE is the data controller in respect of Platform user data. PATİBASE discharges its own duty to inform data subjects and relies on the appropriate legal basis. The Platform Privacy Policy and Information Notice form an integral part of this agreement.
10.3. Data transferred to the ORGANIZATION — the data of users applying to adopt and of adopters — falls under the ORGANIZATION's status as an independent data controller from the moment it is transferred to the ORGANIZATION.
10.4. The ORGANIZATION processes the data transferred to it solely for the purpose of carrying out the relevant process. Such data may not be used for any other purpose, including marketing, membership invitations, donation appeals, surveys or sharing with third parties. The ORGANIZATION discharges its own duty to inform data subjects.
10.5. The parties take the necessary technical and administrative measures under Article 12 of the KVKK. In the event of a data breach, the other party shall be informed within 24 hours at the latest.
10.6. Upon a request from the Personal Data Protection Board or from a data subject, the parties shall provide each other with information and documents without delay.
11. Intellectual Property
11.1. The intellectual property in Organization Content remains with the ORGANIZATION.
11.2. The ORGANIZATION grants PATİBASE a non-exclusive, royalty-free, worldwide and transferable licence to use Organization Content for the purposes of publishing and displaying it on the Platform, listing it in search results and processing it as technically required (resizing, caching, format conversion). The licence terminates when the content is removed from the Platform; retention in technical backups for a reasonable period is an exception to this provision.
11.3. Promotional use. PATİBASE may use the ORGANIZATION's name and logo in organization listings within the Platform, on the organization profile page and in the Volunteer Tag. Any other promotional use (press releases, advertising, presentations) is subject to the ORGANIZATION's separate written approval.
11.4. The PatiBase trade mark. PATİBASE grants the ORGANIZATION the right to use the "PatiBase" trade mark and logo solely for the purpose of announcing the cooperation, for the term of the agreement, on a non-exclusive and non-transferable basis. The ORGANIZATION may not register the trade mark in its own name or apply for a similar mark. This right terminates automatically upon termination of the agreement.
12. Fees
12.1. The Organization Account and the services under this agreement are free of charge. No limit is applied to the number of listings.
12.2. PATİBASE may offer paid organization features in the future. Such features will be offered to the ORGANIZATION separately and no charge arises without the ORGANIZATION's acceptance. Services currently provided free of charge will not be made chargeable while this version remains in force.
12.3. Fundraising. No donations or aid are collected on behalf of the ORGANIZATION through the Platform. Fundraising requires separate authorization under the Associations Act no. 5253 and the Fundraising Act no. 2860; such a module may only be enabled upon the parties' separate written agreement and after the necessary authorizations have been obtained.
13. Service Level and Limitation of Liability
13.1. PATİBASE uses reasonable efforts to keep the Platform operating without interruption and announces planned maintenance in advance. No guarantee of uninterrupted or error-free service is given.
13.2. As the service is provided free of charge, PATİBASE's liability is limited, save in cases of intent and gross negligence. PATİBASE is in no event liable for indirect damages, loss of profit, loss of data or loss of reputation.
13.3. In case of suspected unlawfulness, a request from a competent authority or a serious technical problem, PATİBASE may temporarily suspend the services after informing the ORGANIZATION.
13.4. In cases of force majeure (natural disaster, epidemic, war, cyber attack, prolonged outage originating from infrastructure providers, decisions of public authorities), obligations are suspended for the duration of the force majeure event.
14. Term and Termination
14.1. The agreement enters into force upon approval of the Organization Account and is of indefinite duration.
14.2. The ORGANIZATION may close its account and terminate the agreement at any time through the Platform or by written notice to info@patibase.app.
14.3. PATİBASE may terminate the agreement upon 30 days' prior written notice. In cases of serious breach of the agreement, unlawfulness or a decision of a competent authority, immediate termination without notice period is possible.
14.4. Upon termination. The Organization Account and active listings are removed from publication. Any Invitation Link is disabled immediately and all Volunteer Tags are removed within 15 days; the Volunteers' own accounts and listings are unaffected. Upon the ORGANIZATION's request, the listing and application records belonging to the Organization Account are transferred to the ORGANIZATION in a reasonable format. The obligations regarding personal data (Art. 10) and indemnity (Art. 7.3) survive termination.
15. Amendments and Version Management
15.1. PATİBASE may update this agreement. Each update is published with a new version number and effective date; previous versions remain accessible in the archive.
15.2. Changes that materially affect the rights and obligations of the ORGANIZATION are notified to the ORGANIZATION by e-mail at least 15 days before the effective date and renewed acceptance is requested on the Platform. No tacit acceptance applies; until the new version is accepted, the previous version continues to apply to the ORGANIZATION.
15.3. If the ORGANIZATION does not wish to accept the new version, it may terminate the agreement under Article 14.2.
15.4. Formal corrections, typographical fixes and clarifying changes that are not to the ORGANIZATION's detriment do not require renewed acceptance; they are noted in the release note.
16. Notices
16.1. Notices from PATİBASE to the ORGANIZATION are made to the e-mail address declared by the ORGANIZATION in its application and/or as an in-Platform notification, and are deemed valid.
16.2. Notices from the ORGANIZATION to PATİBASE are made to info@patibase.app.
16.3. Keeping contact details current is the responsibility of the ORGANIZATION.
17. Miscellaneous and Dispute Resolution
17.1. The invalidity of any provision of the agreement does not affect the validity of the remaining provisions.
17.2. Failure to exercise a right does not constitute a waiver of that right.
17.3. The ORGANIZATION may not transfer its rights and obligations under the agreement without PATİBASE's written consent.
17.4. The parties shall first seek to resolve disputes in good faith and by negotiation. In disputes that cannot be resolved, the Courts and Execution Offices of İstanbul shall have jurisdiction. The governing law is Turkish law.
17.5. Where a separate cooperation protocol has been signed between the parties, the provisions of this agreement continue to apply unless the protocol expressly provides otherwise. In case of conflict, the provisions of the signed protocol prevail.
17.6. Language. The governing text of this agreement is Turkish. The English translation is provided for information purposes only; in case of any discrepancy between the two texts, the Turkish text prevails. The digest (hash) stored in the acceptance record belongs to the Turkish text.
